1. Who We Are
ListifyAI ("we", "us", "our") is an AI-powered listing tool for Etsy sellers, operated from the United Kingdom. By creating an account or using our service, you ("you", "user") agree to these Terms of Service in full. If you do not agree, you must not use ListifyAI.
2. What ListifyAI Does
ListifyAI is an AI-powered SaaS tool that helps Etsy sellers generate product listing titles, descriptions, and tags. You provide a product description or photo, and our system uses OpenAI's GPT-4o model to produce optimised listing content. Important limitations you must understand: • AI-generated content is a starting point, not a guarantee. We do not guarantee that generated listings will achieve any specific search ranking, views, or sales on Etsy. • You are responsible for reviewing all generated content before publishing it to Etsy. • We are not affiliated with, endorsed by, or partnered with Etsy, Inc.
3. Eligibility
You must be at least 18 years old to use ListifyAI. By creating an account, you confirm that you are 18 or older and have the legal capacity to enter into this agreement. If you are using ListifyAI on behalf of a business, you confirm that you have authority to bind that business to these terms.
4. Account Responsibilities
When you create an account, you agree to: • Provide accurate and truthful registration information (primarily your email address). • Keep your login credentials confidential. You are solely responsible for all activity that occurs under your account. • Notify us immediately at hello@listifyai.net if you suspect unauthorised access to your account. • Not share your account with other people. Each subscription is for a single user unless you are on the Agency plan and have purchased additional seats. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these terms.
5. Acceptable Use
You agree not to use ListifyAI to: • Generate fraudulent, misleading, or deceptive product listings. • Upload content you do not own or have the right to use (e.g. copyrighted product photos that are not yours). • Attempt to reverse-engineer, scrape, or extract data from our service by automated means. • Circumvent usage limits (e.g. creating multiple free accounts to bypass the free tier generation cap). • Use the service in any way that violates Etsy's own Terms of Service or any applicable law. • Upload content that is illegal, offensive, or harmful. Violations may result in immediate account suspension without refund.
6. AI-Generated Content — Ownership and Responsibility
Content generated by ListifyAI using your inputs is provided to you for your use. To the extent that AI-generated text can be owned, you own the output generated from your inputs. However, you acknowledge that: • AI models can produce similar or identical output for different users with similar inputs. We cannot guarantee uniqueness of generated content. • You are solely responsible for ensuring that any listing you publish on Etsy accurately describes your product and complies with Etsy's policies. • We are not liable for any intellectual property claims arising from content you publish based on AI-generated output.
7. Subscriptions and Payments
ListifyAI offers a free tier and paid subscription plans (Starter, Pro, Agency). Paid plans are billed monthly in advance. • All payments are processed by Stripe, Inc. We do not store your card details. • Subscriptions automatically renew at the end of each billing period unless cancelled. • Prices are displayed in GBP and include any applicable VAT where required. • We reserve the right to change pricing with 30 days' notice to existing subscribers. Price changes will not apply retroactively to your current billing period. • Failed payments will result in a grace period of up to 3 days, after which your account will be downgraded to the free tier until payment is resolved.
8. Cancellation and Refunds
You may cancel your subscription at any time from your account settings (Settings → Billing). Upon cancellation: • You retain access to paid features until the end of your current billing period. • No partial refunds are issued for unused days in a billing period. • Exception: if you experience a significant technical failure on our part that prevents you from using the service, contact us at hello@listifyai.net within 7 days and we will review refund requests on a case-by-case basis. We do not offer refunds for dissatisfaction with AI-generated content quality, as the nature of AI output varies and cannot be guaranteed.
9. Service Availability and Changes
We aim to keep ListifyAI available 24/7 but we do not guarantee uninterrupted service. Downtime may occur due to maintenance, third-party outages (OpenAI, Supabase, Vercel), or events outside our control. We reserve the right to: • Modify, suspend, or discontinue any part of the service at any time. • Change or remove features, particularly those dependent on third-party APIs (e.g. OpenAI model updates). • Impose or adjust usage limits on free and paid tiers. We will give reasonable notice of significant changes where possible.
10. Intellectual Property
ListifyAI, including its name, logo, design, and underlying code, is proprietary and owned by its operator. You may not copy, reproduce, modify, or distribute any part of the ListifyAI platform without our written permission. Nothing in these terms transfers any IP rights to you other than the limited right to use the service as described.
11. Disclaimer of Warranties
ListifyAI is provided "as is" and "as available" without warranties of any kind, either express or implied. We specifically disclaim: • Any warranty that the service will be uninterrupted, error-free, or secure. • Any warranty that AI-generated content will be accurate, unique, or achieve specific results on Etsy. • Any warranty of fitness for a particular purpose. Your use of the service is entirely at your own risk.
12. Limitation of Liability
To the maximum extent permitted by UK law, ListifyAI shall not be liable for: • Any indirect, incidental, consequential, or punitive damages. • Loss of profits, revenue, data, or business opportunities. • Damages arising from your reliance on AI-generated content. • Damages resulting from third-party service failures (OpenAI, Stripe, Etsy, etc.). Our total aggregate liability for any claim arising from your use of ListifyAI shall not exceed the total amount you paid us in the 3 months preceding the event giving rise to the claim. Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation, as these cannot be excluded under UK law.
13. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms or your use of ListifyAI shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer based in another UK nation, you may also have rights under the law of that nation.
14. Changes to These Terms
We may update these Terms of Service from time to time. We will notify you of significant changes by email or via a notice on the website. Continued use of ListifyAI after changes take effect constitutes your acceptance of the revised terms. If you do not agree to the new terms, you must cancel your account before they take effect.
